IT资讯讯 6月2日消息，苏宁云商6月2日晚间发布公司非公开发行A股股票发行情况报告书暨上市公告书，公告书中表示，正式向淘宝（中国）软件（下称“淘宝”）和安信-苏宁2号（下称“安信”）两大认购对象发行价值约292亿元的股票，淘宝认购金额为282.33亿元，安信-苏宁2号认购股票金额10亿元。股票发行后，淘宝(中国)软件有限公司持股18.61亿股，占总股本19.99%，为公司第二大股东。

本次交易最早于去年8月宣布，阿里巴巴集团投资约283亿元人民币参与苏宁云商的非公开发行，占发行后总股本的19.99%，成为苏宁云商的第二大股东。与此同时，苏宁云商将以140亿人民币认购不超过2780万股的阿里巴巴新发行股份。

根据苏宁云商本次的报告书，此次发行价格为15.17元/股，发行数量为19.27亿股，而苏宁当前股价11.06元，当前股价已经低于认购价格27.1%。这说明，淘宝的292亿元入股已经浮亏超过76亿元。

此外，公告还显示，本次发行不会导致公司实际控制人发生变化，公司高管人员结构不会因本次发行而发生变化。公司目前不存在因本次非公开发行而需对高管人员及其结构进行调整的事项。而苏宁云商本次发行募集资金主要用于物流平台建设和苏宁易购云店发展项、互联网金融项目、IT项目和偿还银行贷款和补充流动资金项目。
