搜狐（纳斯达克股票代码：SOHU）今日向美国证券交易委员会提交了一份8K文件，它在文件中称，公司旗下的间接全资子公司“北京搜狐新媒体信息技术有限公司”（以下简称“搜狐新媒体”）与畅游（纳斯达克股票代码：CYOU）旗下的间接全资子公司“北京畅游天下网络技术有限公司”（以下简称“畅游天下”）签署了一项贷款协议。

文件显示，搜狐新媒体将不定期向畅游天下借款，借款总额不超过10亿元人民币（约合1.5亿美元），年利率为6%。

协议规定，搜狐新媒体首次提出借款的要求必须在2016年12月31日或之前提出，之后提出的借款要求必须在首次要求提出后的一年内提出。

协议规定，每笔借款的本金和应付利息的到期日为每笔借款发生之日的一年之后。

搜狐将把这笔资金用于公司运营，但是不包括畅游和搜狗业务。

与此同时，搜狐间接全资子公司、畅游直接母公司“搜狐游戏有限公司”还与畅游达成了股权质押协议。根据协议规定，畅游游戏有限公司承诺将其持有的11386228股畅游B股普通股质押给畅游，帮助搜狐新媒体获得贷款。
