SFC: CITIC 21st century violates the takeover code-Alibaba Alibaba acquired CITIC in 21st century-IT information

5月19日消息，香港证监会18日发布公告，收购委员会裁定阿里巴巴旗下的阿里健康违反收购守则，阿里巴巴集团所获清洗交易豁免无效。收购委员会发现，阿里巴巴在进行收购交易期间，与中信21世纪的一名股东陈文欣订立了若干协议，向他收购其独资拥有的河北慧眼医药科技。陈文欣是中信21世纪执行董事兼副主席陈晓颖的弟弟。

收购委员会裁定，阿里巴巴与陈文欣之间所订立的若干协议构成一项特别交易，当中附有不可扩展至全体股东的优惠条件，这显然违反了《收购守则》。

收购委员会还裁定，阿里巴巴获授予的清洗交易豁免因此被宣告无效，并因而（除非另行获得宽免）触发了强制全面要约责任。

鉴于难以对陈文欣所获得的优惠条件设定确切价值，并考虑到自公布清洗交易以来，中信21世纪股份的市价水平，收购委员会指出，在此情况下，就阿里巴巴为收购中信21世纪的多数权益而支付的认购价增添的任何额外价值，极不可能会是一个重大数值，因此宽免了相关强制全面要约责任。

2014年1月23日，阿里放入正文编辑器并关闭巴巴集团联手云锋基金，以约13.27亿港元入股中信21世纪，阿里巴巴集团持股38.1%，云锋基金持股16.2%，联合实现控股。2014年10月，中信21世纪正式更名为阿里健康信息技术有限公司。该资产2014年主营业务收入1亿港元（约合0.84亿元人民币），净利5000万港元（约合4181.50万元人民币）。

收购交易完成后，阿里巴巴和马云旗下的云峰基金对中信21世纪的持股比例超过54%。

中信21世纪的主业为运营药品监管码，其旗下运营的中国药品电子监督网，借收购中信21世纪，阿里巴巴拿到了国内第一张第三方互联网售药平台资质。但2016年2月20日，国家食药总局发布公告，暂停执行电子药监码，将启动第三方来负责电子药监码运营，并已明确收回阿里健康方面的代理运营权。
