根据鼎泰新材此前发布的公告显示，顺丰控股借壳鼎泰新材前，袁福祥为公司的第九大股东，持股数量为679,701，持股比例为0.58%。

5月23日，鼎泰新材发布午间公告，披露了顺丰控股(下称“顺丰”)作价433亿元借壳上市的预案。鼎泰新材从停牌到披露预案，只相隔一个多月的时间，堪称“神速”。

这一交易一旦完成，顺丰实际控制人王卫都将通过其关联公司明德控股实现对鼎泰新材的绝对控股权及成为实际控制人，从而实现顺丰的借壳上市。

此前，巨人网络已经成功借壳世纪游轮完成上市。而世纪游轮的原有高管全部退出公司管理层，世纪游轮的董事长、总经理已分别由巨人网络董事长史玉柱和巨人网络总裁刘伟接任。不久后，“世纪游轮”或许就将更名为“巨人网络”。

433亿借壳曾被深交所询问

值得一提的是，就在”壳”公司发布公告的第三天，深交所就发出了重组问询函。深交所问询函就此要求顺丰说明本次预估增值的合理性，以及选取收益法评估结果作为作价依据的原因。

基于433亿元的高估值，顺丰给出了“超高”的盈利承诺，顺丰2016年、2017年、2018年净利润分别不低于21.8亿元、28亿元和34.8亿元，三年累计业绩承诺金额达84.6亿元，超过了申通（41.7亿元）和圆通（39.8亿元）之和。

方案显示，顺丰2013年至2015年归属于母公司所有者的净利润分别为18.3亿元、4.8亿元和11.5亿元。

由此，深交所要求补充披露近三年营业收入和净利润变化的原因。同时说明上述业绩承诺的具体依据及合理性。

实际上，跨界并购重组的“高估值”、“高承诺”进来已经受到监管层的高度关注。此前，乐视影业以98亿元注入乐视网、万达院线372亿元收购万达影视、永乐影视32.6亿借壳宏达新材在估值上都超出外界预期不少，均遭到监管层的询问。
