与此同时，世纪游轮拟购买巨人网络100%股权。拟购买资产的评估值为1,312,424.08万元，各方协商确定的交易对价为1,312,424.00万元。

据悉，世纪游轮以发行股份方式购买巨人网络全体股东，即兰麟投资、中堇翊源、铼钸投资、澎腾投资、鼎晖孚远、弘毅创领、孚烨投资以及腾澎投资所持有的巨人网络合计100%的股权。

世纪游轮向前述巨人网络股东发行443,686,270股股份，发行价格为经除权除息调整后的定价基准日前20个交易日世纪游轮股票交易均价的90%，为29.58元/股。具体发行数量如下：

同时，世纪游轮拟采用询价发行方式向其他不超过10名特定投资者发行股份募集配套资金，募集配套资金总额不超过500,000万元，上市公司控股股东或其控制的关联人不参与募集配套资金部分的认购，发行股份数量不超过169,033,130股。

目前，本次非公开发行配套募集资金确定了8家认购对象，发行股票数量为53,191,489股，发行价格为94元/股，认购对象全部以现金方式认购，募集资金总额为4,999,999,966.00元。详细募资情况如下：

据悉，上述交易已于2016年3月31日获得中国证监会核准。截至目前，巨人网络已就其100%股权权属变更事宜完成了工商变更登记，巨人网络成为了世纪游轮全资子公司。

此外，世纪游轮管理层也进行了以此大换血，原有管理层全部退出，而由巨人网络CEO刘伟领衔的巨人管理层入主。

2016年4月27日，世纪游轮召开第四届董事会第七次会议，同意公司原总经理彭建虎，副总经理李维德、叶桦、刘彦、陈树培，财务总监、董事会秘书张生全从上市公司管理层退出，辞去相应职务；同意公司原董事彭建虎、刘彦、石欣、张崇滨，独立董事江积海、王牧从上市公司董事会及其专业委员会退出，辞去相应职务，并履职至新的董事、独立董事到任时止；

不过，目前世纪游轮董事长仍然由彭建虎担任，其他重要职务则几乎全部由巨人网络管理层担任。不出意外，彭建虎的董事长职位不久后也将由巨人网络董事长史玉柱顶替。

随着本次借壳上市事务的推进，可以预见的是，世纪游轮未来将很可能更名为“巨人网络”。在此之前，从美股退市的分众传媒已成功借壳七喜控股，并将壳公司七喜控股更名为“分众传媒”。
