4月29日消息，今天上午上海爱尚鲜花股份有限公司挂牌新三板，在其公开转让说明书中显示，公司2013年-2015年7月为了进行业务营销刷出26万笔订单，刷单产生的虚假销售金额超过3千万元。

爱尚鲜花公开转让说明书中显示，其销售模式可分为O2O业务、B2C业务、B2B业务三类。报告期内公司主要以直接销售赚取进销差额的模式盈利；B2C业务主要通过赚取采购与销售之间差额盈利；B2B业务通过自有平台，将上游鲜花基地与下游花店等连接起来，通过收取上下游佣金来实现利润。公司报告期内的利润主要来自O2O及B2C业务。

爱尚鲜花主要通过在天猫、京东、微信等平台提供销售服务，2013年至2015年7月通过员工或外包人员总共刷单26万笔，刷单费用支出175.46万元，刷单产生的虚假收入累计3095万元。

爱尚鲜花表示刷单是公司营销的一种手段，由公司员工或外包给外部人员进行，其按照公司要求在各大平台下单，以提高公司产品在平台的销量排名，有助于提高公司产品的销量。

并且，爱尚鲜花还公开指出了刷单流程。从数据看出，2013年、2014年、2015年1-7月的刷单量分别为8701笔、9.09万笔、16.37万笔，刷单笔数分别占当期销售的4.95%、24.05%、42.02%。

爱尚鲜花将这些大量刷单产生的虚假收入并报表。2015年1-7月、2014年、2013年本来的收入为4313.56万元、5046.03万元、2486.58万元。但刷单产生的订单并非真实销售，因在新三板挂牌，爱尚鲜花承认被主办券商及会计事务所将刷单产生的扣除收入后，营业收入分别变为2877.14万元、3668.14万元、2205.59万元。根据计算，这些刷单让爱尚鲜花累计产生了3095.29万元的虚假收入。同时，爱尚鲜花持续3年亏损，2015年1-7月、2014年、2013年的净利润分别为-1181.65万元、-1054.14万元、-459.75万元。

爱尚鲜花指出，未来公司将持续致力于扩大营业规模，提升品牌知名度。因此短期内，各项费用仍会保持在较高水平，收入的增长可能仍旧较难覆盖各项费用。短期内经营性活动产生的净现金流量可能持续为负，公司面临难以盈利的风险。

截止到发稿前为止，天猫、京东方面尚未对此事作出回应。
