谷歌为何要出手？

1、已把摩托移动“玩残了”。2011年8月，谷歌宣布125亿美元收购摩托罗拉移动，相当于后者股票市值溢价63%。收购之初，摩托全球拥有超过10000名员工，目前则不足3000名。谷歌还陆续将摩托移动“肢解”，砍掉了大量非核心业务，并缩减了全球1/3的市场办事处，摩托移动这家曾经全球手机王者，已彻底退化成为一家美国区域市场的“小众”公司。

2、专利大战收效甚微。通过收购，谷歌获得了摩托罗拉持有的24000多项技术专利，并计划向HTC、三星等Android合作伙伴在与苹果专利诉讼中给予帮助。不过实际证明，专利大战更多涉及硬件与软件设计，基础通信专利并未获得各国法院认可。谷歌向微软的专利诉讼，更是被美国法院判决微软向其每年支付170万美元授权费，而不是谷歌要求的40亿美元。

3、摩托移动并未“止血”。尽管谷歌对摩托移动进行了大手术，但摩托移动依然“扶不上墙”，两年半以来累计亏损超过10亿美元，并且赢利预期依旧无望。

5、谷歌亏不亏？在收购交易完成后，谷歌做了以下事情，

2）、出售摩托罗拉移动全球手机制造工厂，包括中国天津最大的工厂以7500万美元向伟创力出售；

3）、减税。纽约的会计和税务专家罗伯特·维伦斯(Robert Willens)曾表示，谷歌这笔收购带来了税收优惠，在2019年之前预计每年可以实现7亿美元的税收减免。而由于摩托罗拉移动美国业务出现的净运营亏损，谷歌将可以一次性减免10亿美元税收。而摩托罗拉海外业务的亏损又可以带来一次性7亿美元的税收减免。（截止2014年初共计约39亿美元）

4）、29亿美元向联想出售摩托移动品牌和部分专利授权。

也就是说，通过上述一系列“榨干”运作，谷歌近三年来已陆续回收约91亿美元，并获得了摩托对谷歌一系列硬件与软件业务的试验和支撑。

联想获得了什么？

1、品牌。作为老牌手机厂商，摩托罗拉依然在全球拥有广泛的品牌声誉。而联想作为新的智能手机厂商，想塑造与此等同的品牌价值，显然需要10亿美元以上的多年累积投入，并且失败风险巨大。

2、专利。谷歌拥有的摩托24000万项专利大约估值55亿美元。通过出售，谷歌将继续持有摩托罗拉移动大部份专利组合，包括现有专利申请及发明披露。但作为联想与谷歌长期合作关系的一部分，联想将获得相关的专利组合和其他知识产权的授权许可证，并获得超过2000项专利资产。对于处于国际化初期的联想手机业务来说，已足可用于防御战。

3、运营商渠道。摩托罗拉移动依然是美国第三大Android智能手机厂商和拉丁美洲第三大智能手机厂商，并与全球50多家运营商都有合作关系。通过收购摩托移动，联想手机业务将可迅速进入梦寐以求的美国市场。

4、时间窗口。全球手机行业正处于关键的洗牌期，业内普遍预计将于2015年完成。杨元庆在一个小范围的交流会上也曾表示，联想进军欧美市场的最佳窗口期是在2014-2015年左右，这意味着留给联想手机国际化的时间并不多，而收购摩托移动将大大减少这一时间成本。

5、硬件与软件能力。摩托移动虽然已经没落，但依然可以设计出MOTO X、Moto G等业内顶级的手机产品，并对谷歌Android系统有着更深的理解。但联想目前的手机设计团队与之相比，简直就是“渣”。

对于此次收购，杨元庆认为：“并购这样一个行业最具代表性的品牌及其创新的产品组合和精英汇集的全球团队，将帮助我们在移动领域把握快速增长的机会，让我们加速成长为全球性的移动设备厂商。”谷歌（Google）CEO Larry Page则称:“随着这项协议的达成，谷歌将集中精力致力于Android生态系统的优化和创新。”

也就是，这是一项各取所需的合作，谷歌在“榨干”摩托移动后对自身已无太大利用价值，出手已是必然。而对于手机业务迫切国际化的联想来说，也是目前为数不多的选择。而6.6亿美元现金、7.5亿美元联想普通股股份、以及为期三年的15亿美元银行本票支付，对于联想来说，财务压力也可承受。
