根据公告，世纪游轮拟向重庆拨萃、泛海资本、上海鸿长、上海瓴逸、上海瓴熠、重庆杰资、弘毅创领、新华联控股、四川国鹏、广东俊特、宏景国盛、昆明金润及上海并购基金13名交易对方，非公开发行股份及支付现金购买其持有的交易标的全部普通股。本次交易完成后，上市公司将合计持有Playtika 100%股份。巨人投资为上市公司控股股东，史玉柱为上市公司实际控制人。

此次交易包括发行股份、支付现金购买两部分。其中，255亿元交易对价以发行股份方式支付，每股价格39.34元（按证监会及深交所相关规则进行除息、除权处理后的价格）；现金支付部分，交易对价为50亿元。
