格力电器9月1日晚间公告，公司及相关中介机构积极落实和回复深交所重组问询函提及事项，并对此次发行股份购买资产相关的信息披露文件进行了补充和修订。经申请，公司股票将于9月2日复牌。

根据方案，格力电器拟以15.57元/股发行8.35亿股，作价130亿元收购银通投资集团等21名交易对方持有的珠海银隆100%股权；同时拟以15.57元/股向8名特定对象非公开发行股份配套募资不超过97亿元，全部用于珠海银隆项目建设，其中公司控股股东格力集团拟认购41.88亿元，员工持股计划拟认购不超过23.8亿元。

据介绍，珠海银隆拥有钛酸锂电池核心技术，主要从事新能源汽车和充电设施的研发、生产和销售，主要产品包括钛酸锂电池、新能源汽车、储能系统和配套充电设施。格力电器表示，此次收购完成后，公司将切入新能源汽车生产研发领域，并拟将锂离子电池、新能源汽车及储能业务打造为公司未来重要的业务增长点。

根据业绩承诺，珠海银隆股东银通投资集团、珠海厚铭等8名交易对方承诺，珠海银隆于2016年度至2018年度净利润分别不低于7.2亿元、10亿元和14亿元。
