Nokia's acquisition of Arlong deals: about 1.04 billion yuan, holding ultra-95%-Nokia, Nokia-IT information

On June 16, Finland Nokia agreed to buy Alcatel-Lucent (Alcatel-Lucent) 24392270 shares of stock, due in 2019 9,614,661 convertible bonds, and 2,290,001 2020-year convertible bonds. A total consideration of approximately 140 million euros, or about $ 1.04 billion yuan.

It is reported that Nokia agreed to pay a total consideration of approximately 85372945 billion (€ 3.5 per share) cash purchase of Alcatel-Lucent stock. In addition, Nokia will buy expired on January 30, 2019 to 4.51 euros per convertible bond, to buy for each € 4.50, due on January 30, 2020 convertibles. All transactions will be completed in about June 17, 2016.

Upon completion of the deal, Nokia will own shares in the Alcatel-Lucent 95.33% and 95.26% of the voting share capital, equivalent to the Alcatel-Lucent 95.16% diluted shares held. Nokia is planning to France submitted documents of the authority in the financial markets.

Earlier this year, France's securities regulator approved Nokia to 15.6 billion euros (about US $ 17 billion) deal to buy Alcatel-Lucent, Nokia, Alcatel-Lucent 70.52% fully diluted shares held and the continuous acquisition of the shares of other shareholders. But if Nokia 95% per cent held by Alcatel-Lucent shares and convertible bonds, and will no longer purchase of remaining shares.

据悉，诺基亚同意以总价约85372945欧元（每股3.5欧元）的现金收购阿尔卡特-朗讯股票。此外，诺基亚将以每份4.51欧元的价格收购2019年1月30日到期的可转债，以每份4.50欧元的价格收购2020年1月30日到期的可转债。预计所有相关交易将于2016年6月17日前后完成。

此次交易完成后，诺基亚将拥有阿尔卡特-朗讯95.33%的股份和95.26%的表决权股本，相当于持有阿尔卡特-朗讯95.16%稀释后股份。诺基亚正计划向法国金融市场管理局递交文件。

今年初，法国证券监管机构批准了诺基亚以156亿欧元（约合170亿美元）收购阿尔卡特朗讯的交易，当时诺基亚持有阿尔卡特朗讯70.52%完全稀释后的股份，并在后续不断收购其他股东手中的股份。不过如果诺基亚持有的阿尔卡特朗讯股份和可转债比例达到95%，将不再收购剩余股份。
